IMPORTANT - READ CAREFULLY BEFORE SUBSCRIBING
BY CLICKING TO SUBSCRIBE, COMPLETING CHECKOUT, OR OTHERWISE ENROLLING IN VERIFIED PASSPORT (THE "MEMBERSHIP"), YOU ("MEMBER," "YOU," OR "YOUR") AGREE TO THESE MEMBERSHIP TERMS & CONDITIONS (THIS "AGREEMENT") WITH PRELOVEDSCENTS MARKETPLACE, A NEVADA CORPORATION ("COMPANY," "WE," "US," OR "OUR"). IF YOU DO NOT AGREE, DO NOT SUBSCRIBE.
This Agreement governs your paid access to LovedScents society features at sharescents.com and related domains (the "Society" or "Service"). It does not govern any separate marketplace, store, or mobile application that may be offered in the future unless we expressly state otherwise in writing.
SECTION 1 - DEFINITIONS
1.1 "Verified Passport" or "Membership" means the recurring paid subscription that unlocks designated society features on LovedScents.
1.2 "Member Content" means profiles, posts, photos, messages, vault entries, studio pages, and other materials you submit through the Society.
1.3 "Billing Period" means the monthly or yearly interval for which you are charged, as selected at checkout.
1.4 "Stripe" means Stripe, Inc. or its affiliates, our third-party payment processor for subscriptions.
SECTION 2 - MEMBERSHIP SCOPE (CLUB ONLY)
2.1 Society subscription only. Verified Passport is a digital membership to LovedScents community and collector tools (including, when available, Scent Vault, Profile Studio, feed, messaging, and related features). It is not a purchase of fragrance products, marketplace listing rights, seller verification for any store, investment, or equity interest in the Company.
2.2 No marketplace included. Any future PreLoved Scents marketplace, peer-to-peer store, or similar offering is separate, may require additional terms, and is not included in this Membership unless we expressly say so at that time.
2.3 Features may change. We may add, modify, suspend, or remove society features at any time. We do not guarantee any particular feature, uptime level, valuation estimate, or third-party integration will remain available.
2.4 No professional advice. Collection values, notes, house information, or other informational displays are for entertainment and collector interest only. They are not appraisals, investment advice, authentication certificates, or guarantees of resale price.
SECTION 3 - ELIGIBILITY
3.1 You must be at least 18 years old and capable of forming a binding contract.
3.2 You must provide accurate registration and billing information and keep it current.
3.3 One person per account. You may not share credentials, resell Membership access, or create accounts to evade enforcement.
SECTION 4 - BILLING, RENEWAL, AND CANCELLATION
4.1 Recurring charges. Membership renews automatically each Billing Period until cancelled. By subscribing, you authorize us and Stripe to charge your payment method the then-current fee (currently $4.99/month or $39.99/year, plus applicable taxes where required).
4.2 Price changes. We may change Membership pricing for future Billing Periods upon reasonable notice. Continued use after the effective date constitutes acceptance of new pricing for subsequent renewals.
4.3 Cancellation. You may cancel renewal at any time through the billing portal linked from your account or by contacting admin@lovedscents.com. Cancellation stops future charges; access generally continues through the end of the paid Billing Period unless we suspend you sooner for breach.
4.4 No refunds except where required by law. TO THE FULLEST EXTENT PERMITTED BY LAW, MEMBERSHIP FEES ARE NON-REFUNDABLE AND NON-PRORATABLE, INCLUDING FOR PARTIAL PERIODS, UNUSED FEATURES, ACCOUNT CLOSURE, OR DISSATISFACTION. If applicable law requires a refund, that law controls.
4.5 Failed payments. If payment fails, we may suspend or terminate Membership and society access until payment is resolved.
4.6 Chargebacks. Initiating an improper chargeback may result in immediate termination and collection action.
SECTION 5 - ACCEPTABLE USE AND COMMUNITY STANDARDS
5.1 LovedScents is a fragrance collector community. You agree to use the Society lawfully and respectfully.
5.2 Authentic fragrance culture. You will not promote, solicit, or facilitate counterfeit, replica, "inspired by," or misleading fragrance products. We may remove content and terminate Membership without refund for violations.
5.3 Family-friendly content. Member Content must be appropriate for all ages unless a specific area is clearly marked otherwise. No revealing, suggestive, harassing, hateful, or illegal content.
5.4 You will not: spam; scrape or reverse engineer the Service; bypass security; upload malware; impersonate others; harass members; or use the Society for unauthorized commercial solicitation.
5.5 We may monitor, moderate, remove, or restrict Member Content and accounts to protect the community, with or without notice, to the fullest extent permitted by law.
SECTION 6 - MEMBER CONTENT LICENSE
6.1 You retain ownership of Member Content you submit, subject to rights you grant below.
6.2 By submitting Member Content, you grant the Company a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use Member Content to operate, secure, promote, and improve the Society and our business - in any media now known or later developed - without compensation to you.
6.3 You represent that you have all rights necessary to submit Member Content and that it does not violate law or third-party rights.
SECTION 7 - PRIVACY
Our Privacy Policy describes how we collect and use personal data. By subscribing, you consent to those practices as updated from time to time.
SECTION 8 - SUSPENSION AND TERMINATION
8.1 We may suspend or terminate your Membership and account immediately, with or without refund, if you breach this Agreement, our community standards, or applicable law, or if we reasonably believe your conduct creates risk to members or the Company.
8.2 Upon termination, your right to use paid features ends. Sections that by nature should survive (including payment obligations accrued, disclaimers, limitations, indemnity, and dispute resolution) survive termination.
SECTION 9 - DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CLUB AND MEMBERSHIP ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THE COMPANY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, THAT DEFECTS WILL BE CORRECTED, OR THAT INFORMATION (INCLUDING COLLECTION VALUES OR IDENTIFICATIONS) IS COMPLETE, CURRENT, OR RELIABLE.
SECTION 10 - LIMITATION OF LIABILITY
10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO THE MEMBERSHIP OR CLUB.
10.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE MEMBERSHIP SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100.00) OR (B) THE TOTAL MEMBERSHIP FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
10.3 YOU ACKNOWLEDGE THESE LIMITATIONS ARE A FUNDAMENTAL BASIS OF THE BARGAIN.
SECTION 11 - INDEMNIFICATION
You shall defend, indemnify, and hold harmless the Company and its owners, officers, directors, employees, contractors, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Membership or Society; (b) your Member Content; (c) your breach of this Agreement; or (d) your violation of law or third-party rights.
SECTION 12 - DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER
12.1 Informal resolution. Before filing a claim, contact admin@lovedscents.com and allow 30 days to resolve the dispute informally.
12.2 Binding arbitration. Except for qualifying small-claims matters and claims for injunctive relief against unauthorized use or intellectual property misuse, any dispute arising out of or relating to this Agreement or the Membership shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or as otherwise required by applicable law. The Federal Arbitration Act governs interpretation and enforcement of this section.
12.3 Class action waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
12.4 Venue. If arbitration does not apply, you consent to exclusive jurisdiction in state or federal courts located in Nevada, and waive objections to venue and forum non conveniens to the extent permitted by law.
SECTION 13 - GOVERNING LAW
This Agreement is governed by the laws of the State of Nevada, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your state apply.
SECTION 14 - CHANGES TO THIS AGREEMENT
We may update this Agreement by posting a revised version and updating the agreement version date. Material changes will be communicated by reasonable means. Continued Membership after the effective date constitutes acceptance. If you do not agree, cancel before renewal.
SECTION 15 - MISCELLANEOUS
15.1 This Agreement, together with the Privacy Policy and any checkout disclosures, is the entire agreement regarding Verified Passport.
15.2 If any provision is unenforceable, the remainder stays in effect.
15.3 Our failure to enforce a provision is not a waiver.
15.4 You may not assign this Agreement without our consent. We may assign freely.
